Before joining Dailey LLP, Matthew worked in the corporate litigation group at Skadden in Wilmington, DE. Matthew focuses his practice on corporate and commercial litigation, including representing clients in connection with contractual disputes, merger and acquisition litigation, appraisal litigation, derivative litigation and federal securities suits in state and federal courts. Matthew’s practice also involves advising clients on the Delaware law of corporations and other corporate law issues.
Beyond Dailey
Matthew and his wife, Skyler, spend their time seeking out new culinary experiences and traveling to see their favorite artists perform. Matthew also enjoys playing and recording music and exploring the country, searching for vintage guitars to add to his collection.
Representative Matters
- Represented Freedom Forever LLC, Freedom Solar Pros, LLC and their officers and successfully defended against tortious interference claims related to purported restrictive covenants in the Delaware Court of Chancery and on appeal before the Delaware Supreme Court.
- Represented Altaba Inc. in its statutory dissolution pursuant to Sections 280 and 281 in the Delaware Court of Chancery.
- Represented Genomic Health, Inc. and several of its former directors and officers in the dismissal of fiduciary duty, aiding and abetting and violation of the Delaware antitakeover statute claims arising out of the company’s merger with Exact Sciences Corporation.
- Represented Regal Entertainment Group in a four-day trial of an appraisal action in the Delaware Court of Chancery.
- Represented various companies and directors in actions under Section 220 actions for books and records in the Delaware Court of Chancery.
- Represented various banks in response to subpoenas arising out of mergers and acquisitions and other corporate litigation.
- Matthew’s pro bono practice has included representing individuals in landlord-tenant disputes and in guardianship proceedings.
